50hire Terms of Service

1. Agreement

1.1. These Terms of Service (the "Terms") govern the Customer's access to and use of 50hire, the recruitment solution provided by 50skills ehf., reg. no. 490402-4110 ("50skills").

1.2. These Terms apply to any order form, quote, or services agreement that references them (an "Order Form"). The Order Form and these Terms together form the agreement between 50skills and the customer named in the Order Form (the "Customer"). In the event of a conflict between an Order Form and these Terms, the Order Form prevails.

1.3. By signing an Order Form that references these Terms, or by using the service, the Customer accepts these Terms. Order Forms may be executed electronically.

2. Services

2.1. 50hire is a cloud-based software-as-a-service (SaaS) solution which enables the Customer to create job advertisements, receive applications, process applications, and onboard new employees.

2.2. The Customer receives a career site and access to the 50hire recruitment system, where the Customer can build job advertisements and process the job applications received.

2.3. The Customer may optionally request and purchase additional services from 50skills, sold at an hourly rate or under other agreed arrangements. This includes integrations with third-party services that can improve the processing and onboarding of employees, for example job boards, personality and competency assessments, payroll systems, time tracking systems, and electronic signatures for documents.

2.4. The service is accessible to all of the Customer's employees during the subscription term.

3. Fees and Payment

3.1. The fees for the service, and the basis on which they are calculated (such as the Customer's number of employees), are set out in the applicable Order Form. Unless otherwise stated in the Order Form, subscription fees are invoiced from the signing of the Order Form and thereafter at the billing frequency stated in the Order Form.

3.2. The Customer shall not pay additionally for the number of advertised jobs, registered users, or number of job applications during the subscription term.

3.3. The Customer may request integrations, subject to a price quote, during the subscription term.

3.4. If the Customer requests additions, configuration work, or consulting not specified in the Order Form, such services shall be paid for at 50skills' then-current hourly rate, or as otherwise quoted or agreed.

3.5. All fees are exclusive of VAT and any other applicable taxes, duties, or charges, which are payable by the Customer.

3.6. Unless otherwise stated in the Order Form, invoices are due within 14 days of the invoice date.

3.7. Unless otherwise agreed in the Order Form, 50skills may adjust its fees once per calendar year, effective on January 1.

3.8. 50skills may use a third-party billing partner to issue invoices on its behalf.

4. Data Protection and Information Security

4.1. 50skills guarantees that all stored information from applicants and users of the recruitment system shall be kept in computer systems that meet strict security requirements, where security is ensured through firewalls, encryption, and access controls. The 50hire solution is hosted in the cloud and operated through Heroku. Heroku uses Amazon Web Services, which continuously strives to be at the forefront of information security. 50hire is hosted in an AWS data center located in Ireland. The operations of AWS data centers have been certified under ISO 27001, SOC 1, SOC 2/SSAE 16/ISAE 3402 (formerly SAS 70 Type II), PCI Level 1, FISMA Moderate, and Sarbanes-Oxley (SOX).

4.2. 50skills guarantees that the storage and processing of personal data is carried out in accordance with the EU General Data Protection Regulation (GDPR) and applicable data protection law.

4.3. The processing of personal data under this agreement is governed by the 50hire Data Processing Agreement, available at https://www.50hire.com/dpa, which is incorporated into these Terms by reference. The Customer may request a signed copy of the Data Processing Agreement before the service begins.

4.4. The Customer is responsible for using the service in compliance with the laws applicable to the Customer, including employment and data protection law in the Customer's jurisdiction.

5. Marketing

5.1. The parties may communicate their partnership and use each other's promotional materials and trademarks. The parties will seek to protect each other's interests in the marketing of the partnership. Either party may decline or withdraw such use by written notice.

6. Intellectual Property

6.1. This agreement does not entail any transfer of copyright or other intellectual property rights from one party to the other.

6.2. The Customer retains all rights to the data submitted to the service by the Customer, its users, and its applicants.

7. Confidentiality

7.1. The parties shall maintain full confidentiality regarding all data and all information (hereinafter "Confidential Information"), written or oral, which they receive in connection with this agreement and which concerns the other party or its customers.

7.2. 50skills guarantees that its employees will be informed of the above confidentiality obligation and that it applies both while employees work under this agreement and after they cease to work under it or leave 50skills' employment.

7.3. 50skills guarantees security such that all Confidential Information is inaccessible to anyone other than those with defined authorization to access it.

7.4. The confidentiality obligation under this section applies indefinitely and remains unchanged even after this agreement has come to an end.

8. Liability

8.1. 50skills warrants that the software has been developed, tested, programmed, and documented in accordance with good development practices and conventions.

8.2. 50skills shall indemnify the Customer for direct damages the Customer may suffer as a result of 50skills, through its actions or omissions, intentionally or negligently, breaching the obligations it undertakes under this agreement.

8.3. 50skills shall under no circumstances be liable for consequential or indirect damages of the Customer, including damages due to lost profits, lost revenue, business interruption, or loss of data or business information.

8.4. Should 50skills be liable for damages suffered by the Customer, its liability shall be limited to an amount equal to the Customer's total payments to 50skills for the service affected by the damage during the last 6 (six) months before the damage occurred. The foregoing limitation of liability does not apply if the damage is attributable to gross negligence or intent on the part of 50skills.

9. Access and Uptime

9.1. The system is accessible 24 hours a day, every day of the year.

9.2. Uptime shall be at least 99.80%, taking into account planned downtime of which 50skills notifies the Customer with reasonable advance notice.

10. Breach

10.1. 50skills shall fulfill its obligations under this agreement in all respects. Should it fail to do so, the Customer is entitled to withhold payments or apply other lawful remedies for breach in accordance with the general rules of contract law.

10.2. Should a party materially breach its obligations, the other party is entitled to terminate the agreement with one month's notice. It is considered a material breach if payments are not made at the agreed times, or if there are material breaches of a party's obligations under the provisions of the agreement in other respects.

11. Term and Termination

11.1. Unless otherwise stated in the Order Form, the agreement enters into force upon the Customer's signature of the Order Form and is valid for an initial term of 12 months. Thereafter, the agreement renews automatically for successive 12-month periods unless terminated by either party with three months' written notice before the next renewal date.

11.2. If a party is unable to fulfill its obligations under the agreement due to force majeure or comparable events beyond its reasonable control, its obligations, including any potential liability for damages, are suspended while such circumstances persist. An example of such circumstances is if network connectivity is down due to events or conditions beyond 50skills' control.

11.3. Upon termination and/or rescission of this agreement, the rights and obligations of the parties lapse, with the exception of the confidentiality provisions, which do not expire.

12. Changes to These Terms

12.1. 50skills may update these Terms from time to time. Material changes will be notified to the Customer with reasonable advance notice, and take effect at the start of the Customer's next renewal term unless required earlier by law.

13. Governing Law and Disputes

13.1. This agreement is governed by Icelandic law. Should a dispute arise between the parties regarding the interpretation or performance of this agreement which the parties cannot resolve between themselves, the matter shall be brought before the District Court of Reykjavík.
